These Terms of Service ("Terms") govern your access to and use of the websites, applications, waitlists, communications, and related services offered by Idiscovr (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Who we are

"Idiscovr," "we," "us," and "our" refer to the operator of the Services. You may contact us at info.idiscovr@gmail.com. Our public website is available at https://idiscovr.app.

2. Eligibility and accounts

You represent and warrant that you are at least sixteen (16) years of age (or the age of digital consent in your jurisdiction, if higher) and have the legal capacity to enter into these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that entity.

Certain features may require an account. You agree to provide accurate, current, and complete registration information and to update it promptly. You are responsible for safeguarding credentials and for all activity under your account. You must notify us promptly at info.idiscovr@gmail.com of any unauthorized use.

3. Description of the Services

Idiscovr provides a platform oriented toward the creative industries, including tools and experiences that help users discover collaborators, showcase creative work and projects, and connect with stakeholders such as investors, labels, brands, managers, producers, curators, and other professionals ("Stakeholders"). Features may include profiles, portfolios or media galleries, matching or discovery mechanics (which may include swipe-style interactions), messaging or collaboration tools, waitlist and early-access programs, notifications, analytics for your own content, and integrations with third-party services.

The Services are provided for lawful professional and creative networking purposes. We may offer waitlists, betas, or founder programs that include promotional benefits (for example, profile boosts or priority support). Any such benefits are discretionary, may change, and do not constitute a guarantee of outcomes (such as deals, funding, or employment).

4. Changes to the Services and these Terms

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, including for security, legal, or operational reasons. We may also update these Terms. If we make material changes, we will use reasonable efforts to provide notice (for example, by posting on the Services or sending email to the address associated with your account). The "Last updated" date at the top of this page will also be revised.

Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services and, where applicable, delete your account.

5. Acceptable use

You agree not to, and not to permit others to:

  • Violate any applicable law, regulation, or third-party right—including intellectual property, privacy, publicity, and contract rights.
  • Harass, threaten, defame, discriminate against, or endanger any person or group; post hate speech; or facilitate violence or exploitation.
  • Upload, transmit, or distribute malware, spam, chain letters, pyramid schemes, or deceptive or fraudulent content.
  • Scrape, crawl, harvest, or use automated means to access the Services in a way that burdens our infrastructure, bypasses rate limits, or circumvents access controls, except as expressly permitted by us in writing or by public search engine policies for indexing public pages.
  • Reverse engineer, decompile, or attempt to extract source code from the Services except to the extent such restriction is prohibited by law.
  • Misrepresent your identity, affiliation, or qualifications; create fake profiles; or impersonate another user, Stakeholder, or Idiscovr.
  • Use the Services to solicit minors for inappropriate purposes or to distribute sexually explicit content involving minors (zero tolerance—such conduct may be reported to authorities).
  • Circumvent payment, matching, or visibility systems; manipulate metrics; or coordinate inauthentic engagement.

We may investigate violations and cooperate with law enforcement. We may remove content, suspend or terminate accounts, withhold discretionary benefits, and take other appropriate action.

6. User content and intellectual property

6.1 Your content

You may upload, post, or otherwise provide text, images, audio, video, links, metadata, and other materials ("User Content"). You retain ownership of your User Content subject to the license below.

6.2 License to Idiscovr

You grant Idiscovr a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting and display), distribute, publicly perform, publicly display, and create derivative works solely as needed to operate, improve, promote, and secure the Services—including training machine-learning models only if we provide separate, explicit consent or settings for that use and you opt in where required by law. Unless we notify you otherwise, we do not claim ownership of your User Content.

6.3 Representations

You represent and warrant that you own or have the necessary rights to your User Content and that its submission does not violate any law or third-party right. You are solely responsible for backing up your content.

6.4 Our IP

The Services, including software, branding, logos, designs, and documentation, are owned by Idiscovr or our licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

7. Stakeholders, deals, and third parties

The Services may facilitate introductions or visibility between users and Stakeholders. Idiscovr does not guarantee any outcome of a match, conversation, or introduction. Any agreement, investment, employment, license, or collaboration is solely between you and the other party. Idiscovr is not a party to those agreements unless we sign a separate written contract with you.

Third-party links, integrations, or embedded content may appear in the Services. We do not control third parties and are not responsible for their content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

8. Fees and payments

Some features may be free; others may require payment or subscription. If we charge fees, we will present pricing and billing terms before you incur charges. Unless stated otherwise, fees are non-refundable except as required by law. You authorize us and our payment processors to charge your designated payment method. You are responsible for taxes associated with your use of paid features.

9. Confidentiality and feedback

If we disclose non-public information to you as confidential, you must protect it and use it only for the purpose disclosed. If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant Idiscovr a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate Feedback without obligation to you.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDISCOVR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT WILL BE ACCURATE OR RELIABLE.

Nothing in the Services constitutes legal, financial, tax, or career advice. You are solely responsible for your decisions and agreements with other users and Stakeholders.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL IDISCOVR, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF YOU HAVE NOT PAID US ANYTHING.

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You will defend, indemnify, and hold harmless Idiscovr and its affiliates and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

13. Termination

You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, for conduct that we believe violates these Terms, creates risk, or is otherwise harmful. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution) will survive termination.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except that mandatory consumer protection rules in your country of residence may still apply where required by law.

Except where prohibited by applicable law, you agree that exclusive jurisdiction and venue for disputes arising out of or relating to these Terms or the Services will be the state and federal courts located in Delaware, and you consent to personal jurisdiction there. Nothing in this section limits either party's right to seek injunctive or equitable relief for intellectual property or confidentiality violations.

If you are a consumer in the European Economic Area or United Kingdom, you may also have the right to bring proceedings in the courts of your country of residence, and mandatory statutory protections may apply.

15. Export and sanctions

You may not use the Services if you are located in, or a resident of, a country or region subject to comprehensive U.S. sanctions, or if you are on any restricted party list. You must comply with all applicable export control laws.

16. Electronic communications

You consent to receive communications from us electronically (for example, email or in-product notices). You agree that such communications satisfy any legal writing requirements where permitted by law.

17. Miscellaneous

These Terms constitute the entire agreement between you and Idiscovr regarding the Services and supersede prior agreements on the same subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Section headings are for convenience only.
